El corporate governance o gobierno corporativo es uno de los temas más relevantes de nuestro tiempo, tanto desde el punto de vista jurídico como económico. Se trata de una corriente universal, impulsada desde el ámbito anglosajón, pero fuertemente desarrollada en Europa y también en Iberoamérica, Asia o África.

Partiendo de esta realidad, el curso pretende:

i) seleccionar algunos de los temas que, dentro de un catálogo potencialmente muy amplio pueden tener más interés para los usuarios de los MOOCs, especialmente de España y América Latina;

ii) tratar de dar, por una parte, una visión teórica y práctica de cada cuestión y por otro lado, ilustrarlo de manera más didáctica mediante entrevistas con expertos o protagonistas de la materia analizada

Se trata de determinar y analizar los temas realmente importantes que se están planteando y distinguirlos de otros que pueden un carácter más circunstancial o anecdótico, como sucede a menudo con cuestiones de gran actualidad. Por esa razón también se ha partido de un esquema en el que se cuestionan algunas ideas preconcebidas que puedan existir sobre el buen gobierno

Se abordan con carácter específico temas clave de nuestro tiempo como el papel de los acreedores, la diversidad de género y el aspecto penal relacionado con las políticas de compliance.

Panorama general del Corporate Governance: Función y desarrollo
Introducción al concepto y evolución, desde aproximadamente el año 1992 en que se publicó el llamado Cadbury Report. Se analizan las recomendaciones y normas imperativas más relevantes dirigidas a mejorar el gobierno de las compañías, tanto desde sus juntas generales como en sus consejos de administración. Se destaca la ampliación geográfica y material del corporate governance, que tiene ahora carácter universal y cuyos destinatarios de los Códigos no son ahora únicamente las compañías cotizadas. Además, trasciende del ámbito puramente societario. Se hace especial hincapié en el estudio del principio comply or explain.
LOS ACREEDORES EN EL GOBIERNO CORPORATIVO
Los socios son los propietarios de las sociedades y por esto sus órganos de gobierno básico son la junta de socios y, sobre todo, el órgano de administración designado por los socios y los ejecutivos nombrados por los administradores. No obstante, los acreedores contribuyen con una parte más o menos esencial de los recursos necesarios para llevar adelante una compañía. A partir de esta constatación, el objetivo del curso es analizar si los acreedores tienen un papel relevante en el gobierno de las sociedades y, en especial, distinguir entre las diversas situaciones por las que puede atravesar una sociedad desde este punto de vista.
Buen gobierno corporativo y diversidad de género
El módulo sobre buen gobierno corporativo y diversidad de género aborda un tema de gran actualidad y de hondo calado en el sistema de gobierno corporativo. En él se aborda si la diversidad de género en los consejos de administración de las sociedades mercantiles constituye o no un factor clave de gobierno corporativo. Se revisa la consideración de este elemento desde los primeros Códigos e Informes de Buen gobierno a los Principios de Buen Gobierno de la OCDE y del G-20 de 2016, así como las medidas y recomendaciones que sobre la diversidad de género rigen en distintos países europeos. También se analizan las normas aprobadas y en proyecto de la Unión Europea que inciden sobre el tema. Asimismo, se revisa cuál ha sido la evolución del Derecho español sobre el tema y, por último, se realiza una aproximación a la visión que denotan los Códigos de buenas prácticas de distintos países latinoamericanos.
GOBIERNO CORPORATIVO Y PROGRAMAS DE PREVENCIÓN DE RIESGOS PENALES
La introducción de la responsabilidad penal de las personas jurídicas ha tenido efectos de todo orden. Sin duda alguna ha servido para comprometer a las empresas con la prevención del delito, pero también es cierto que ha generado un estado de incertidumbre e inquietud en buen número de ellas, que aun deseando cumplir con el mandato penal dudan acerca de cómo hacerlo. En este curso se analizan las bases legales de nuestro sistema a fin de arrojar luz acerca de los requisitos que deben reunir las compliance para la prevención del delito y la correspondiente sanción penal.
A estos efectos, en este módulo se plantearán y responderá a las siguientes preguntas:
¿Puede la empresa evitar sanciones penales a través de un buen modelo corporativo?
¿Qué penas puede evitar?
¿Cómo puede conseguirlo?
¿Cómo identificar los riesgos penales?
¿Cómo influye la naturaleza y dimensiones de la empresa en la aparición de unos u otros riesgos?
¿Qué criterios debo tener en cuenta para definir unas buenas pautas de conducta?
